Terms of Use for Devnation

PLEASE READ THESE TERMS OF USE CAREFULLY. BY REGISTERING FOR, ACCESSING, OR USING OUR SERVICES, YOU, ON BEHALF OF YOURSELF OR THE ENTITY YOU REPRESENT ("YOU" OR "THE USER"), AGREE TO BE LEGALLY BOUND BY THESE TERMS OF USE AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU MAY NOT ACCESS OR USE OUR SERVICES. 

These Terms of Use ("Terms") constitute a legally binding agreement between you and SRL Devnation, a company registered in Belgium ("Devnation," "we," "us," or "our"). These Terms govern your access to and use of our "Devnation Calendar and Business Application," our business management products, and any related software development or professional services we provide (collectively, the "Services"). 

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. In that case, the terms "you" and "your" shall refer to such entity. 

1. Account Registration and Security 

1.1. To access and use the Services, you must register for an account. You agree to provide information that is accurate, current, and complete during the registration process and to update it as necessary. 

1.2. You are solely responsible for safeguarding your account password and for all activities that occur under your account, whether or not you have authorized them. 

1.3. You must notify Devnation immediately upon becoming aware of any breach of security or unauthorized use of your account. 

2. The Services 

2.1. SaaS Product License: Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the "Devnation Calendar and Business Application" for your internal business operations. 

2.2. Software Services: We may also provide custom software development, integration support, or other professional services ("Software Services"). These will be governed by a separate Statement of Work (SOW) or service agreement, which will incorporate these Terms by reference unless explicitly stated otherwise. 

3. Third-Party Integrations (Google and Microsoft) 

3.1. A core feature of our Services is the ability to integrate with third-party platforms, including Google (for Calendar and Gmail) and Microsoft (for Outlook Calendar and Mail). 

3.2. By authorizing an integration, you grant us permission to access and process your data from that platform as described in our Privacy Policy. You are responsible for complying with the terms and conditions of these third-party platforms. 

3.3. Disclaimer: The availability and functionality of these integrations depend entirely on the respective APIs of Google and Microsoft. We are not liable for any unavailability, changes, or discontinuation of these third-party services or their APIs, which may result in a loss of features, data, or interruption to our Services. We provide no warranty or guarantee regarding the continuous availability of these integrations. 

4. User Data and Responsibilities 

4.1. Ownership of Your Data: You retain all ownership rights to the information, data, and content you or your end-users upload, enter, or manage within the Services ("User Data"). This includes sensitive information you may manage about your own clients. 

4.2. Your Responsibility as Data Controller: For the personal data of your clients that you process using our Services, you are the "Data Controller" under GDPR. You represent and warrant that you have obtained all necessary rights, consents, and permissions to collect, share, and use this User Data in connection with our Services and that your use of the data complies with all applicable privacy laws. 

4.3. Acceptable Use: You agree not to use the Services to: * Violate any applicable Belgian or EU laws, regulations, or third-party rights. * Send spam, unsolicited messages, or any other form of unauthorized communication. * Store or transmit infringing, defamatory, or otherwise unlawful material. * Attempt to gain unauthorized access to the Services or their related systems. * Interfere with or disrupt the integrity or performance of the Services. 

5. Fees, Payment, and Subscriptions 

5.1. Subscription Fees: Access to the Services is provided on a subscription basis. Fees are based on the plan you select and are billed in advance on a recurring cycle (e.g., monthly or annually), as specified on our pricing page. 

5.2. Payment Authorization: You agree to provide a valid payment method and authorize us to charge this method for your chosen subscription plan and any additional services purchased. All fees are quoted in Euros (EUR). 

5.3. Automatic Renewal: To ensure uninterrupted service, your subscription will automatically renew at the end of each billing cycle for a subsequent period of the same duration. You may cancel the automatic renewal at any time through your account settings or by contacting our support team before the renewal date. 

5.4. Price Changes: We reserve the right to modify our subscription fees. We will provide you with at least 30 days' notice of any fee changes. Your continued use of the Services after the price change constitutes your agreement to pay the modified fee. 

5.5. Taxes: All stated fees are exclusive of applicable taxes, such as Value Added Tax (VAT), which you are responsible for paying in accordance with Belgian law. 

6. Intellectual Property Rights 

Except for your User Data, the Services and all materials therein, including but not limited to software, source code, text, graphics, logos, patents, trademarks, and copyrights ("Devnation Content"), are the exclusive property of Devnation and its licensors. You agree not to copy, modify, distribute, sell, or create derivative works from any Devnation Content without our express prior written consent. 

7. Confidentiality 

Each party agrees to treat all non-public information received from the other party, which is marked as "Confidential" or which reasonably should be understood to be confidential, with the same degree of care as it uses for its own confidential information, but in no event less than reasonable care. Neither party will use or disclose such Confidential Information for any purpose outside the scope of this Agreement. 

8. Disclaimers and Limitation of Liability 

8.1. Disclaimer of Warranties: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY BELGIAN LAW, DEVNATION EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 

8.2. Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEVNATION, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES. 

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO DEVNATION FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. 

9. Indemnification 

You agree to defend, indemnify, and hold harmless Devnation and its officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any third-party right, including any intellectual property or privacy right, related to your User Data. 

10. Termination 

10.1. Termination by You: You may terminate these Terms by cancelling your subscription and ceasing all use of the Services. 

10.2. Termination by Us: We may suspend or terminate your access to the Services at any time, with or without cause. If we terminate your account without cause, we will provide a pro-rata refund of any prepaid subscription fees for the unused portion of the term. We may terminate immediately without notice for any material breach of these Terms. 

10.3. Effect of Termination: Upon termination, all rights and licenses granted to you will immediately cease. You must cease all use of the Services. Provisions that by their nature should survive termination (including, but not limited to, confidentiality, intellectual property, disclaimers, limitation of liability, and indemnification) shall survive. 

11. Governing Law and Dispute Resolution 

These Terms shall be governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the competent courts located in the judicial district of Brussels, Belgium. The parties hereby irrevocably consent to the jurisdiction of such courts. 

12. General Provisions 

12.1. Entire Agreement: These Terms, together with our Privacy Policy and any executed SOW, constitute the entire agreement between you and Devnation regarding the Services. 

12.2. Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. 

12.3. Changes to Terms: We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of any material changes by posting the new Terms on our website or by sending you an email. Your continued use of the Services after such changes become effective constitutes your acceptance of the new Terms.
